MASTER SERVICE AGREEMENT & TERMS OF SERVICE

Provider: Webly Studio Inc.

Effective Date: Valid upon receipt of first payment.

1. ACCEPTANCE OF TERMS (PAYMENT AS SIGNATURE)

By remitting payment for any invoice issued by Webly Studio Inc. (via Stripe, ACH, credit card, or any other payment processor), the Client acknowledges that they have read, understood, and agree to be fully bound by this Master Service Agreement. The act of paying the invoice constitutes a legally binding electronic signature and acceptance of all terms herein.

2. STRICT 100% NON-REFUNDABLE POLICY

All fees paid to Webly Studio Inc. are 100% non-refundable. Payments are remitted for professional labor, time, expertise, and the allocation of agency resources. Once a project commences, or a retainer period begins, the fee is fully earned. No refunds will be issued under any circumstances, including mid-project cancellations or changes in Client business direction.

3. NO RESULTS GUARANTEE (DIGITAL MARKETING & SEO)

Client acknowledges that digital marketing, search engine optimization (SEO), and paid advertising (including but not limited to Meta, Google, and TikTok Ads) are inherently subject to third-party algorithms and market variables completely outside of the Provider’s control. Therefore:

  • Webly Studio Inc. strictly does not guarantee specific financial outcomes, Return on Investment (ROI), lead volume, conversions, or search engine rankings.
  • A lack of "perceived results," sales, or leads does not constitute a breach of contract and is not a valid reason for a refund or dispute. The Client is explicitly paying for the execution of the agreed-upon digital work (labor), not guaranteed financial results.

4. ANTI-DISPUTE & CHARGEBACK POLICY

Webly Studio Inc. maintains meticulous logs of all work performed, communications, time allocated, and digital deliverables. By agreeing to these terms via payment, the Client explicitly waives the right to initiate a credit card chargeback or bank dispute based on claims of "Services Not Received" or "Product Not as Described," provided Webly Studio Inc. can produce a log of work or communication.

Notice for Dispute Resolution Centers: This document is structured to serve as primary evidence in any Stripe or banking dispute resolution process. Any unauthorized chargebacks will be aggressively defended as "friendly fraud" using this agreement, IP logs, and project deliverables as evidence.

5. SPECIFIC SERVICE CLAUSES

A. Web & App Development

Development projects are billed based on milestones or upfront project fees. If the Client chooses to cancel, pause, or abandon a project mid-development, no prior payments will be refunded for work already executed or time already allocated.

B. Video Editing & Graphic Design

Creative services include a strict limit of two (2) rounds of revisions per deliverable, unless otherwise specified in writing on the specific invoice. Any additional revisions, scope changes, or completely new creative directions requested by the Client will be billed at an hourly rate or quoted as a separate project.

C. Monthly Retainers & Maintenance

Monthly retainers reserve Webly Studio Inc.'s time and agency resources on an ongoing basis.

  • Cancellation: Requires a strict 30-day written notice prior to the next billing cycle.
  • Unused Hours: Any unused hours or resources within a billing month expire at the end of that month. They do not roll over to subsequent months and are not eligible for any partial refunds.

6. LIMITATION OF LIABILITY

Webly Studio Inc. shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to: loss of business revenue, loss of data, technical downtime, or third-party platform bans (e.g., Facebook Ad account suspensions or Google account bans). The Client assumes full responsibility for their own business compliance on all third-party platforms.

Document Status: This document serves as the overriding Master Service Agreement for all invoices issued by Webly Studio Inc. unless explicitly superseded by a signed, physical contract.
